TERMS AND USE OF DOOS LOGISTICS

1. THE AGREEMENT

1.1 When you register for a Doos Logistics account ("Account"), you agree to the following terms and conditions ("Terms"). These Terms form a legally binding agreement between you and Doos Corporation, a United States-registered company doing business as Doos Logistics & DoosNG Logistics("Doos", "we", "us", or "our"). By accessing or using our platform (via the website at www.dooslogistics.dooscorp.com or the mobile application), you confirm that you have read, understood and accepted these Terms. Accepting these Terms also includes acceptance of the Privacy Policy and other policies referenced on the Platform.

2. DEFINITIONS

2.1 "Account" - the unique user profile created by a Customer upon registration on the Doos Logistics Platform, enabling access to and use of the Services.

2.2 "Customer" - any individual, business or legal entity that registers on the Platform to use the logistics, shipping and related services offered by Doos Logistics.

2.3 "Goods" - any package, parcel, item or document tendered for shipment by a Sender through the Platform.

2.4 "Merchant" - any third-party seller, vendor, business partner or commercial entity that engages with Doos Logistics and DoosNG Logistics to facilitate the shipment and delivery of Goods.

2.5 "Platform" - the Doos Logistics digital interface, including the website and mobile application, through which Customers access and utilise the Services.

2.6 "PIN" - the personal identification number, password or other secure authentication method required to access a Customer's Account on the Platform.

2.7 "Receiver" - the individual or entity designated by the Sender to take delivery of the Goods at the specified destination.

2.8 "Sender" - the individual or business initiating a shipment transaction by arranging for the delivery of Goods through the Platform.

2.9 "Services" - all logistics, shipping, delivery, tracking, payment processing, customer support and any other ancillary services provided by Doos Logistics via the Platform.

2.10 "Shipment" - the Goods or items in transit that are accepted, transported or delivered using the Services provided by Doos Logistics.

2.11 "Business Account" - a special type of Account designed for corporate entities, businesses or logistics partners that allows for multi-user access, centralised billing, and administrative control.

2.12 "User Roles" - the categories of platform participants, including individuals, business users, senders, receivers, merchants, and platform administrators.

2.13 "Web and Mobile Platform" - the digital infrastructure comprising our website and mobile application, both governed by these Terms.

3. REGISTRATION

3.1 To access and use the Services, you must create an Account by completing the registration process on the Platform. You agree to provide accurate, current, and complete information, including your full name, contact details, address and any other information required for shipment of Goods.

3.2 Doos Logistics & DoosNG Logistics Ltd may, at its sole discretion, verify your identity and the authenticity of any documentation submitted. Verification may include identity checks, address confirmations or other Know-Your-Customer (KYC) procedures, in compliance with applicable laws and regulations.

3.3 Doos Logistics & DoosNG Logistics Ltd reserves the right to accept or reject any registration application without prior notice or explanation. Applications may be declined if, in our sole judgment, the submitted information is incomplete, inaccurate, misleading, fraudulent or otherwise non-compliant with our verification criteria or legal obligations.

3.4 You are solely responsible for maintaining the confidentiality of your Account credentials and must notify us immediately of any unauthorized access or suspected security breach. If user credentials are compromised due to a technical failure of the Doos Logistics platform, the company will take reasonable steps to investigate and rectify the issue. Where appropriate and at its sole discretion, Doos Logistics & DoosNG Logistics Ltd may restore affected transactions or account access.

3.5 Business Accounts and Multi-user Access

3.5.1 Businesses, corporate entities or logistics partners may register for a Business Account, which may include additional features such as multi-user access, centralized billing and administration tools. The primary Business Account holder (or designated administrator) is responsible for managing and authorising all sub-users, setting permissions, approving transactions and ensuring compliance with these Terms by all associated users.

3.5.2 We may require corporate documents, proof of authorisation or other verification to activate or maintain a Business Account. The Business Account holder remains fully liable for all activities, shipments, fees and liabilities incurred under the Account, including those initiated by authorised sub-users.

3.5.3 We reserve the right to limit the number of authorized users or suspend multi-user functionality at our discretion if misuse, fraud or policy violations are suspected. Doos Logistics & DoosNG Logistics Ltd may implement audit rights or maintain system logs to monitor user activity under Business Accounts.

3.6 Users are required to upload their identification documents during verification, including ID type, number, and a clear face photograph. These uploads are mandatory for security and compliance purposes.

4. FEES AND CHARGES

4.1 All fees and charges applicable to the Services (including shipping fees, delivery charges, customs duties, taxes, handling fees and charges for additional services) will be clearly disclosed before you confirm each transaction. Proceeding with a shipment constitutes your agreement to the fees displayed.

4.2 Doos Logistics reserves the right to review and adjust its pricing, service fees, or charges at any time. Any changes will be communicated through the Platform and shall take effect immediately upon publication, unless stated otherwise. Continued use of the Platform after such notification constitutes acceptance of the revised fees. Users who do not agree with the changes may cancel any future shipments without penalty.

4.3 You are responsible for ensuring sufficient funds or payment authorisation are available at the time of each transaction; failure may result in delays, cancellation of shipments or suspension of Platform access.

4.4 All payments must be made through authorised payment methods on the Platform. Doos Logistics & DoosNG Logistics Ltd is not liable for loss or delay resulting from payments through unauthorised channels. You bear any foreign-exchange, banking or international transaction costs imposed by your payment provider.

4.5 Refunds may be issued only for overpayments, duplicate transactions or cancellations made before a shipment is processed. Requests must be submitted via the Platform or customer support within seven (7) days of the transaction. Approved refunds will be processed to the original payment method, subject to applicable administrative fees and financial-institution timelines.

4.6 If you initiate a chargeback without first contacting us to resolve the issue, Doos Logistics & DoosNG Logistics Ltd reserves the right to suspend or terminate your Account and pursue any legal remedies for losses incurred. You will remain liable for any outstanding balances and for any costs associated with investigating and responding to the chargeback. We will provide notice of any pending suspension before it takes effect due to a chargeback dispute.

4.7 Doos Logistics & DoosNG Logistics Ltd may offer promotional codes, discounts or referral incentives from time to time. Promotions are non-transferable, cannot be redeemed for cash and are subject to specific terms. We may withdraw or modify any promotion without notice.

4.8 Payments on the Platform are processed securely through authorised third-party providers, including:

  • Flutterwave - Used for local payments and card processing within Nigeria and Africa.
  • Stripe - Used for global card payments and digital wallet support.
  • PayPal - Used for international transfers and buyer protections.

You may also make payments via bank transfers, where supported. All transactions processed via these gateways are subject to their respective terms and conditions. Doos Logistics & DoosNG Logistics Ltd does not store your full card details but relies on these PCI-DSS-compliant providers for secure handling.

5. USE OF THE PLATFORM

5.1 Account security - Upon registration, you must create a secure PIN or password. You are responsible for keeping it confidential and updating it periodically. Doos Logistics & DoosNG Logistics Ltd is not liable for loss or damage arising from unauthorised access caused by your failure to secure credentials.

5.2 Permitted use - You may use the Platform only for lawful purposes and in accordance with these Terms, primarily to facilitate logistics and shipping activities between the United States and Nigeria. You agree not to use the Platform for any fraudulent, illegal or unauthorised activities.

5.3 Authorisation of transactions - By using your PIN, password or other secure authentication method, you expressly authorise Doos Logistics & DoosNG Logistics Ltd to process any transaction initiated on your Account. You are solely responsible for all activity carried out under your Account, whether authorised by you or not, and must report suspected unauthorised use immediately.

5.4 Platform features - The Platform enables you to:

  • create and schedule shipments;
  • track shipment status and location in real time;
  • manage receiver and delivery information;
  • pay shipping, customs and related fees; and
  • Submit support requests to customer service.

Doos Logistics & DoosNG Logistics Ltd may update or enhance features at its discretion, with or without notice.

5.5 Transaction verification - We reserve the right to review, monitor, and verify all transactions. In the event of a dispute, our internal records shall be conclusive unless you provide credible evidence to the contrary.

5.6 Third-party interactions - Where the Platform connects you with third-party carriers, vendors, or service providers, any disputes, delays, or service issues must be resolved directly with the relevant third party. Doos Logistics is not liable for their actions, terms, or obligations. While Doos Logistics may carry out basic vetting as part of its due diligence process, it does not provide warranties or guarantees regarding the performance or reliability of any third-party providers.

5.7 Doos Logistics relies on trusted third-party services to deliver critical platform functionalities. These include:

  • Flutterwave, Stripe, PayPal - Payment gateways (see Section 4.8).
  • Resend - For sending email notifications such as account alerts and shipment updates.
  • Amazon Web Services (AWS EC2 and S3) - For backend hosting and secure storage of documents, including ID photos.
  • PostgreSQL (self-managed on AWS EC2) - For storing user and transactional data in a secure database.
  • GoDaddy - For managing our domain: www.dooslogistics.dooscorp.com.

By using the Platform, you agree to the use of these providers under their respective service terms and acknowledge that their involvement is essential for the operation of the Platform.

5.8 Content Restrictions and Uploads
Users may upload content such as ID documents and shipment information. Doos Logistics prohibits the upload of hate speech, adult content, or any material not related to lawful logistics activity. The Platform is strictly for business use.

6. SECURITY AND RESPONSIBILITY

6.1 You are solely responsible for keeping your login credentials (PIN, password or other authentication methods) confidential. Sharing them with unauthorised persons is prohibited and may result in Account suspension or termination.

6.2 Doos Logistics may offer or require two-factor authentication (2FA) to protect your Account. When enabled or required, you must complete verification using a secondary method such as SMS codes, email confirmations or authenticator apps. 2FA is mandatory for Business Accounts and recommended for all other users.

6.3 We may implement device recognition and IP monitoring to detect unusual log-in attempts. If suspicious activity is detected, we may temporarily lock your Account and request identity verification.

6.4 If you suspect unauthorised access or misuse of your Account, you must notify Doos Logistics immediately via our Support Centre. Prompt reporting allows us to act swiftly.

6.5 You are liable for any loss, damage or unauthorised activity resulting from failure to maintain proper security of your credentials, devices or authentication methods.

6.6 Doos Logistics reserves the right to restrict access, suspend Accounts or require additional verification where suspicious activity, fraud or a breach of these Terms is suspected.

6.7 Doos Logistics stores text-based data in a PostgreSQL database hosted on AWS EC2 infrastructure. Image uploads, including user ID and facial photos, are stored securely in AWS S3 buckets. Access is strictly controlled: only authenticated systems may query the database, and S3 files are accessed via presigned URLs that expire after a set time.

7. TRACKING AND STATEMENTS

7.1 The Platform provides real-time shipment tracking, enabling Users to monitor dispatch, transit progress, customs clearance, delivery attempts and final delivery confirmation.

7.2 Comprehensive electronic transaction records (shipment histories, payment confirmations, delivery documentation) are available through your Account dashboard and constitute prima facie evidence of transactions.

7.3 For each completed transaction, Doos Logistics generates an electronic receipt detailing the Services rendered, applicable fees, taxes (if any) and payment status. Receipts may be downloaded or printed for accounting or audit purposes.

7.4 You must review all records for accuracy. Discrepancies must be reported in writing within seven (7) calendar days of the relevant transaction or delivery; otherwise, the record is deemed accepted.

7.5 Doos Logistics may amend any record to correct clerical, technical or computational errors. Corrections will be reflected in your Account history; where legally required, we may notify you of material amendments.

7.6 Users may elect to receive shipment updates via email and/or SMS, subject to their notification preferences. By enabling such notifications, you consent to automated messages (carrier messaging and data rates may apply). Preferences may be modified at any time via the Platform.

8. ACCOUNT SUSPENSION OR TERMINATION

8.1 You may terminate your Account at any time by submitting a written request to customer support. Account closure is subject to settlement of any outstanding obligations.

8.2 Doos Logistics may suspend, restrict or terminate your Account without notice if: (a) you materially breach these Terms (including misuse, non-payment or illegal activity); (b) your Account is suspected or confirmed to be engaged in fraudulent, unlawful or unauthorised activities; (c) you fail to provide required documentation or information within the specified timeframe; or (d) your Account remains inactive (no log-in or transactions) for more than twelve (12) consecutive months.

8.3 Upon suspension or termination, Doos Logistics has no obligation to refund any fees paid prior to such action and is not liable for resultant losses or expenses.

8.4 We may, at our sole discretion, reinstate suspended Accounts once outstanding issues are resolved and verification requirements are met.

8.5 Your account may also be suspended or terminated for violating the Doos Corporation dba Doos Logistics Terms of Service and User Agreement, or for engaging in illegal or inappropriate activity on the platform.

9. SERVICE INTERRUPTION

9.1 We are not liable for delay, disruption or failure in providing the Services caused by events beyond our reasonable control (including system malfunctions, network outages, natural disasters, war, government actions, labour disputes or other force majeure events).

9.2 While we will use commercially reasonable efforts to minimize the impact of interruptions and restore service promptly, we do not guarantee uninterrupted or error-free operation of the Platform or Services.

10. NOTICES

10.1 All communications from Doos Logistics will be sent to the email address and/or phone number you provided during registration. You must keep this contact information accurate and current; we are not liable for failed communication caused by outdated details.

10.2 Legal or formal notices from you to Doos Logistics must be in writing and sent to the official address published on the Platform. Notices are deemed received upon actual receipt or, if sent by email, upon confirmation of transmission with no delivery-failure notice. Email notices are acceptable. Digital signatures are valid if compliant with applicable electronic transaction laws.

11. CONSENT

11.1 By registering for and using the Services, you consent to the collection, storage, processing and use of your personal data by Doos Logistics in accordance with applicable data-protection laws (including the GDPR and any relevant local legislation).

11.1.1 We collect: full name, email address, phone number, ID type, ID number, ID photo, and user face photo. This data is provided directly by you during onboarding.

11.2 You authorise Doos Logistics to conduct identity checks through third-party agencies, regulators or other entities as required, and consent to disclosure of your personal data and transaction information to regulatory authorities or enforcement agencies when legally required.

12. GENERAL PROVISIONS

12.1 Doos Logistics may amend these Terms at any time. Continued access or use of the Platform after changes are posted constitutes acceptance of the revised Terms. Users will be notified of significant changes via email and/or Platform alert.

12.2 No failure or delay by Doos Logistics in exercising any right under these Terms shall operate as a waiver of that right, nor shall single or partial exercise preclude further exercise.

12.3 These Terms and your use of the Platform are governed by the laws of the United States and the Federal Republic of Nigeria, and you submit to their courts' exclusive jurisdiction in respect of any dispute.

12.4 All intellectual-property rights in the Platform and related materials remain the exclusive property of Doos Logistics or its licensors. You acquire no rights except those expressly granted herein. Users are not permitted to copy, reverse-engineer, or reuse any platform elements without prior written permission from Doos Logistics.

12.5 You are responsible for all costs incurred in accessing and using the Platform, including internet fees and device maintenance.

12.6 Doos Logistics may set off any amounts you owe against funds held in your Account, to the fullest extent permitted by law.

12.7 Users may reuse or share Doos Logistics approved marketing collateral for promotional purposes only.

13. INSURANCE

13.1 We are liable for loss, damage or delay to Shipments only as expressly provided in these Terms or under any declared-value insurance option you select at the time of shipment. Absent such declaration, our liability is limited and disclaimed to the fullest extent permitted by law.

13.2 You may obtain additional insurance through third-party underwriters partnered with Doos Logistics. Such cover is subject to the separate terms and limitations of those underwriters, which you should review carefully before purchase.

13.3 Doos Logistics acts solely as a facilitator of third-party insurance options and does not serve as a broker or insurer.

14. USER RIGHTS AND DATA HANDLING

14.1 Users may update their name and phone number within the platform.

14.2 Account deletion is implemented via soft delete. This preserves your account for legal and operational integrity. It is necessary to:

  • Maintain technical links with past shipment records
  • Support fraud detection and regulatory compliance efforts

14.3 Doos Logistics does not use cookies or tracking tools. As our platform is primarily mobile-based, no cookie banners or browser-based consent mechanisms are required.
